TERMS OF REFERENCE FOR A CONSULTANT TO REVIEW AND UPDATE INPACT’S CONSITITUTION
1.0 Introduction:
Innovation Program for Community Transformation (InPact) continues to make progress towards establishing itself as a growing and learning organization. In 2023, InPact secured a partnership with East West Management Institute (EWMI) through the USAID /Civil Society Strengthening Activity (USAID/CSSA) project where EWMI will support Capacity optimization efforts for InPact.

Following the joint Organization Capacity assessment (OCA) conducted with EWMI, Institutional gaps were identified and priorities to bridge these gaps were agreed upon. Among these was the need revise InPact’s constitution which was developed when InPact was still a community based organization, and has since never been revised and updated to match InPact’s current status of national level Non –governmental Organization (NGO). The consultant will ensure that the revised constitution is aligned to the Government of Uganda’s statutory requirements and laws.
To this end, InPact is sourcing the services of a consultant with expertise and prior experience in developing leading Non-Governmental Organizations to develop their foundational documents including Constitutions, Memorandums and Articles of Associations.
2.0 Scope of Work:
The consultant will support InPact for a period of 20 working days, during this time, the consultant will work very closely with the Executive Director, Board of Directors, and Founders of InPact to ensure the new Constitution represents status of InPact. He will work closely with Communications Officer to ensure all planned activities aimed at gathering information and contributions towards developing the Constitution will be held according to plan and within schedule.
2.1 Summary of Key Activities: The Consultant will undertake the following indicative activities as part of the comprehensive activities s/he will propose in the inception report.
i) Prepare inception report and budget showing the process and approach s/he will take, and the cost proposal to undertake this work.
ii) Conduct interviews with URSB and NGO Bureau to establish the current position on some of the critical clauses that need to changed or maintained
iii) Hold half day meetings with key stakeholders including Founders of InPact, Board of Directors, senior managers to consult on the required institutional needs, present changes that need to be made/adopted and what will be maintained.
iv) Draft new Constitution for InPact
v) Present it to the Board of Directors in a meeting, incorporate comments from the board and gain approval for its submission to the NGO
Board.

3.0 Institutional Arrangement.
The Consultant will have contracted by InPact and report to the Executive Director of InPact. While s/he will work with the Communications Officer for day-to-day scheduling of meetings, the consultant will on a weekly basis have a progress debrief with the Executive Director. The Consultant will be expected to be administratively self-sufficient, but will be provided with a workstation at InPact offices which S/He can use to perform his duties.
4.0 Required Qualifications:
i) Advanced university degree in Law or relevant humanities.
ii) Over 6 years’ experience developing Constitutions for NGOs in Uganda
iii) Experience in CSO governance and leadership
iv) Reference from at least 2 reputable CSOs whom the consultant helped develop their constitution
