JOB DETAILS:
Mengo Hospital Investment Company Uganda Ltd, was incorporated as a company limited by shares to manage its assets and do businesses which would generate an income for Mengo Hospital's sustainability.
The mission of Mengo Hospital Investment Company Ltd is to provide a measure of financial independence to strengthen research capability, launch special projects, and contribute to capital development of Mengo Hospital, a Christian Mission Hospital.
Duty Station: Kampala, Uganda
Reports to: MHIL Board of Directors
Appointment terms: Part-time role on a three (3) years contract, renewal based on successful performance.
Job summary:
The Company Secretary is responsible for providing secretarial support to the Board of Directors and Board Committees of Mengo Hospital Investment Company Ltd by facilitating, organizing, and coordinating Board activities; ensuring the Company is compliant with the relevant statutory and regulatory requirements as well as ensure that high standards of corporate governance are maintained in line with the Law and the Company's strategic objectives.
Responsibilities include:
1. Board and Corporate Governance roles:
• Ensure that the Board fulfils its statutory responsibilities and meets good governance practices including establishing & managing processes and procedures to build capacity for sound corporate governance.
• Ensure all meetings of the Board of Directors are run in accordance with the governing laws and the Board charter.
• Facilitate assessment of the Board and individual director's as well as the Board Committees performance periodically; Assess developmental/technical training needs of the Board, develop a training schedule, and facilitate Board Trainings.
• Work with the Company's Executive Management to carry out initiatives of the Board.
• In a timely manner, Organize, attend, record, and produce and keep in safe custody the minutes and resolutions of deliberations of all Board meetings, Annual and Extraordinary meetings in accordance with the applicable legislations and Company Constitution.
• Oversee the Board and Board Committee calendars; help determine and plan the frequency of meetings.
2. Legal and Management role
• Provide legal advisory services to the Company's Executive Management in all areas of the Company, including ensuring that effective legal contracts are developed and enforced.
• monitor/review the Company's legal risks and provide appropriate mitigations to safeguard the it from potential legal losses.
• Participate as member of the Executive Management in formulating legal documents, corporate strategies, policies, plans and budgets and in monitoring the Company's performance to ensure that the corporate objectives and targets are achieved.
• Any other responsibilities that may be assigned to the job holder by the supervisors
Knowledge, Skills, and Attributes
• Bachelor of Laws degree (LLB) from a recognized institution.
• Must be an Advocate with a valid and current practicing certificate. 3. Master of Laws degree (LLM) or master's in business related fields from a recognized institution will be an added advantage. Certified Chartered Secretary or training towards ICSA qualification will be an advantage.
• Minimum of 3 years' legal practice experience preferably in a corporate environment with a minimum of 01 year at management level.
