JOB DETAILS:
Job Purpose
Responsible for managing and coordinating all aspects of board and shareholder meetings, including preparing annual calendars, circulating meeting agendas and board packs, organizing notifications, recording minutes, advising on legal and governance matters, ensuring resolutions are filed and communicated, reviewing charters and terms of reference, and maintaining the shareholders' register.

Responsibilities
• Draw up the Annual Calendar for Board meetings;
• Ensure that the meeting Agenda and Board Packs are circulated at least seven days ahead of the scheduled meetings;
• Organise and send out notifications of Board meetings and meetings of Shareholders;
• Record and produce minutes of the Board, Board Committees Annual General Meetings and Extraordinary Meetings;
• Advise Directors and shareholders on the legal and governance implications of proposed resolutions;
• Ensure that resolutions are filed and registered with the relevant registries and communicated to the relevant persons;
• Ensure that the Board Charter and committee Terms of Reference are reviewed periodically for alignment with changes in the operating environment;
• Monitor changes in the shareholding of the SFI and maintain the shareholders’ register.

Person Specification
Education, Training,
Skills & Experience Qualifications
• Bachelors of Laws and Diploma in Legal Practice and ICSA Qualification.
• Valid practicing certificate.
• A Master’s degree is an added advantage.

• At least six years of legal practice in a similar position.
