JOB DETAILS:
Job Purpose
To lead the growth of the Banking and Finance business segment of the Law Firm and lead a Team of Associates in the day today execution of Client assignments.
Responsibilities /Key Deliverables
• Participating in the firm’s marketing and business development initiatives.
• Attending to negotiations with counterparties to transactions and/or projects in a variety of industries including private equity, financial services, education, FMCG, agriculture, manufacturing etc.;
• Regular interaction with government regulators and agencies to assist clients achieve desired results.
• Reviewing of various commercial agreements.
• Reviewing of resolutions and transactional documents.
• Leading due diligence investigations and leading due diligence teams.
• Reviewing opinions on various banking, finance, corporate, commercial, and regulatory matters, including corporate governance.
• Advising clients on various banking and project transactions.
• Providing advice to clients on legal issues, risk and regulatory compliance and contract management strategy.
• Interacting regularly with current and prospective clients in order to build a good network, nurture business relationships and source new business for the firm; and • Any other duties as may be assigned to you by the Managing Partners and Head of the Commercial team.

Technical Ability:
• Develops specialized technical legal expertise and knowledge in one or more areas.
• Ability to draft complex transaction documents and agreements & negotiate them with opposing counsel.
• Ensures engagement letters are created for all matters and documented on each
• file –physically & in Bill for time Client Relationship Management:
• Ability to determine client needs and development of ways to meet the needs
• Actively engages clients, communicates effectively, ensures that assignments meet the expected quality and client’s expectations
• Assists in pitches/proposals to be made to new clients.
Teamwork:
• Builds trust by encouraging others to contribute and achieve high performance and demonstrates respect for all members of the team & being available to juniors for consultation
• Business Development:
• Is able to prepare concise, well written documents using appropriate business and technical language.
• Seeks out opportunities to increase visibility of the firm through active membership in professional, business or community organizations.
• Professional Development:
• Identifies own learning needs and takes appropriate steps to address these.
• Identifies appropriate seminars/ courses in order to enhance professional qualifications and abilities & ensures attainment of the required Continuing Legal Education (CLE) trainings Time/ Financial Management:
• Efficient use of Bill for Time with an average of 65% of standard hours billable per week & at least 65% utilization rate for the year.
• Actively bills clients as per the firm’s guidelines & monitor debtors and follow up to ensure fees are collected.
Person Specification
Education, Training, Skills & Experience Education and Experience required:
• Law Degree and an advocate of the High Court or equivalent qualifications.
• A master’s degree- as an added advantage.
• At least seven years’ experience in a fast-paced corporate commercial legal environment.
• Demonstrated experience in working on large scale projects with multiple stakeholders.
• Demonstrated experience in drafting share purchase, share subscription and shareholders agreements, associated documents and the negotiation of the same.
• Experience in Mergers and Acquisitions.
• Excellent project management skills.
• Experience managing a team or teams.
• Proficient in the use of IT Systems including Microsoft Office packages
• Excellent verbal and written communication skills and an ability to communicate clearly with a range of people from diverse backgrounds.
