JOB DETAILS:
Mission/ Core purpose of the Job
To guard the legal interests of MTN Mobile Money Uganda limited in all its dealings with outside parties and ensure compliance to internal processes and policies applicable laws and regulations within the company.
Main Job Functions:
Regulatory
• Ensure that the company complies with the license and regulatory obligations
• Support regulatory policy projects through regulatory analysis, and stakeholder monitoring; deliver stakeholder engagements to support the development of an enabling environment
• Undertake assessment of policy landscape and existing regulations to provide insightful analysis for MTN MFS interventions as defined by the function and to produce policy recommendations
• Manage, develop, sustain effective working relations with stakeholders, Government representatives.
• Monitor International Mobile Money regulatory developments, review research publications and draw implications for Mobile Money
• Conduct reviews of regulatory documents (e.g. new legislation, current legal and regulatory frameworks, regulatory consultations) and develop and gain consensus for MTN positions and response
• Produce clear and accurate briefing papers, case studies and presentations on regulatory topics to MTN MFS Management.
• Support the implementation of any Regulatory directives, Regulations or law in a timely manner.
• Act as a liaison between the company and regulatory bodies
• Prepare and submit reports of a regulatory nature.
• Carry out any other obligation or duty as the Senior Manager Legal and Regulatory may determine.
Commercial legal
• Advise the company and its affiliates on commercial contractual and legal terms
• Provide legal advice to employees on company related issues of a legal nature
• Draft contracts/agreements for the company and its affiliates
• Contribute to the development of governing company policies in line with the laws of Uganda.
• Ensure that governing policies and procedures are followed ie. procurement processes, disciplinary procedures, etc
• Act as a liaison between the company and other corporate bodies in Uganda.
• Follow up on legal issues.
• Deal with the day-to-day legal administrative work
• Advise the company on all legal commitments entered into by the company
• Attend internal committee meetings that require input from the legal department.
• Follow up on Supplier performance and compliance with agreements.
• Carry out any other obligation or duty as the Senior Manager Commercial & Secretarial may determine.
• Represent the company at meetings and negotiations.
Litigation
• Manage all litigation matters involving the Company (i.e.) ensure that the Company is properly represented in actions filed for and against it.
• Advise the company on all court related matters and arbitration proceedings
• Act as a liaison between the company and its external legal advisors
• Oversee the prosecution of Fraud cases against the Company in liaison with Government agencies.
• Prepare instructions to external counsel on litigation matters
• Track all legal proceedings from the initiation of proceedings to judgment
• Follow up on legal issues, litigation and the judicial process.
• Attend to court sessions on behalf of the Company
Secretarial
• Provide company secretarial functions to MTN Uganda & its subsidiary companies in the following areas:
• Ensure that the Company complies with Memorandum and Articles of Association and that these are up to date, the Companies Act and Corporate governance requirements.
• Ensure compliance with MTN Group company Secretarial requirements
• Administration of Board and general meeting, sub committees of the Board e,g remuneration committee , audit committee etc
• Act as a liaison between the company and its external legal advisors
• Support procedural compliance and administration in ; Drafting agendas, preparing papers for the board and committee, preparing and sending of notice, attendance at Board meetings, and taking minutes, and keeping the minute book, retention of documents/
• Compliance – Company Registry – Filing of statutory company documents such as annual returns, notices of change to registers, e.g charges, resolutions adopted by shareholder at general meetings and Board of Directors meetings
Job Requirements (Education, Experience and Competencies)
Education:
• Bachelor’s degree in Law (Honors) from a Recognized University
• Post Graduate Diploma in Legal practice from the Law Development Centre
Experience:
• At least 3 years legal practice experience in Telecoms or Banking sector.
• Exposure in Legal/accounting/audit position within a legal audit, or accounting in banking.
• Experience of Local Regulatory landscape
Training:
• Financial Management and Accounting training.
