The Capital Markets Authority (CMA) is an autonomous body, established in 1996 under the Capital Markets Authority Act (Cap 84) 1996, to promote, develop and regulate the capital markets industry. CMA is governed by a Board of Directors appointed by the Minister of Finance, Planning and Economic Development. The CMA is mandated by law to:

  • Approve prospectuses and other offering documents under which securities are offered to the public;
  • Develop the capital markets through removal of impediments and the creation of incentives for longer term investments in productive enterprises.
  • Create, maintain and regulate a market in which securities can be issued and traded in an orderly, fair and efficient manner.
  • Cooperate with, any foreign regulatory authority in the performance of its duties;
  • Implement regional and international standards and best practice in securities markets, securities regulation and supervision;
  • Protect investors
  • Operate a compensation fund.

To date, CMA has approved applications for 8 domestic equity offers, 4 secondary equity offers and corporate bond offers for 9 issuers. The CMA has developed six (6) regulations to give effect to the Collective Investment Schemes Act, eight (8) regulations to operationalize the Capital Markets Authority Act and one (1) regulation under the Securities Central Depositories Act. The CMA has provided five (5) guidelines to guide market intermediaries and issuers. The CMA Act was amended in May 2016 (being the 3rd amendment since 1996), which now requires revising existing regulations and developing new regulations to operationalize the Act.

The work of the CMA is also governed by the Securities Central Depositories Act (2009) and the Collective investment Schemes Act (2003).

The CMA is seeking to hire one (1) qualified and motivated individual to fill the position of SENIOR LEGAL OFFICER.

OVERALL JOB PURPOSE
The job holder will provide technical support in the delivery of legal advisory services, and the review and development of rules, regulations and laws aimed at ensuring the Capital Market in Uganda is safe, efficient and vibrant. The job holder will report to the Director Legal and Board Affairs.

KEY DUTIES AND RESPONSIBILITIES

  • Review Securities Exchange and Securities Central Depository rules prior to their approval by the Authority
  • Draft capital markets regulations and laws, and support their approval and publication. This will include conducting research on similar practices in other regional or international jurisdictions.
  • Conduct due diligence for license applications, and for debt and equity prospectus applications;
  • Draft legal instruments for the Authority e.g. service contracts and Memoranda of Understanding for regional and inter- agency cooperation.
  • Provide legal advice, and prepare legal briefs and opinions;
  • Provide board committee secretarial services to the legal & regulatory services committee or any other committee as may be assigned.
  • Representing the Authority in courts of law and other dispute resolution for where necessary

QUALIFICATIONS AND EXPERIENCE
Minimum qualifications:
A Bachelor's degree in Law, and a post-graduate diploma in legal practice. A relevant Masters’ degree will be an added advantage.

Knowledge and work experience:
At least 4 years of post-qualification work experience in a reputable organization (At least 2years work experience in a regulatory or development agency is desirable); Knowledge (academic or practical) or experience of the financial sector will be an added advantage;


Other Requirements & Personal Attributes:
Proficiency in Microsoft Office
power point, excel, word; Good interpersonal and communication/presentation skills; Good drafting skills.
