The Capital Markets Authority (CMA) is an autonomous body, established in 1996 under the Capital Markets Authority Act (Cap 84) 1996, to promote, develop and regulate the capital markets industry. CMA is governed by a Board of Directors appointed by the Minister of Finance, Planning and Economic Development.

The CMA is mandated by _law to:

  • Approve prospectuses and other offering documents under which securities are offered to the public;
  • Develop the capital markets through removal of impediments and the creation of incentives for longer term investments in productive enterprises.
  • Create, maintain and regulate a market in which securities can be issued and traded in an orderly, fair and efficient manner.
  • Cooperate with, any foreign regulatory authority in the performance of its duties;
  • Implement regional and international standards and best practice in securities markets, securities regulation and supervision;
  • Protect investors
  • Operate an Investor compensation fund.

To date, CMA has approved applications for 8 domestic equity offers, 4 secondary equity offers and corporate bond offers for 9 issuers. The CMA has developed six (6) regulations to give effect to the Collective Investment Schemes Act, eight (8) regulations to operationalize the Capital Markets Authority Act and one (1) regulation under the Securities Central Depositories Act. The CMA has provided five (5) guidelines to guide market intermediaries and issuers.

The CMA is seeking to hire two (2) qualified and motivated individuals to join its Senior Management Team;

Job Title: Director Market Supervision
Reports to: Chief Executive Officer

OVERALL JOB PURPOSE: To maintain and regulate an orderly, fair and efficient capital market by ensuring existing and new market intermediaries, investors and issuers comply with the CMA regulatory framework.

KEY DUTIES AND RESPONSIBILITIES:

  • Monitoring market intermediaries and stock exchanges to ensure they comply with the regulatory framework of the CMA.
    Identifying potential market conduct risks and recommending/taking mitigating actions in a timely manner.
  • Taking responsibility for license renewal, approval of new licenses, and other related activities in line with the CMA
  • Client Charter or any other standards agreed to from time to time;
  • Leading the approval of public offers, and coordinating and ensuring the compliance of listed companies to the
  • Corporate Governance guidelines & the Companies Act 2012;
  • Managing the performance of the department. This includes setting performance targets; managing staff capacity development; approving department budgets and work plans; and appraising staff periodically;
  • Overseeing the market surveillance function, conducting investigations into market abuse, recommending appropriate actions and overseeing administrative enforcement;
  • Organizing stakeholder engagements such as compliance seminars to train and equip compliance officers of market intermediaries; and
  • Any other related duty as may be delegated by the CEO

QUALIFICATIONS AND EXPERIENCE:
Minimum Academic Qualifications:
A bachelor's degree with honours in any of the following; Law, Business Administration, Commerce, Economics, Statistics or any other relevant degree and a Master's degree or post graduate/professional certification in a relevant field.

Knowledge & Work experience: At least 5 years of post-qualification work experience in a reputable organization with at least 2 years of compliance or regulatory work experience; strong leadership and communication skills; experience in compliance, Auditing, Inspections and I or Investigations in a regulated or regulatory body is preferred; Knowledge (academic or practical) or experience of the non-bank (insurance, pensions) or financial sector will be an added advantage.
